Acceptance of Terms

By accessing or using the services provided by Sense Solutions Corp. ("Sense Solutions," "we," "us," or "our"), including our website, Axis Platform, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms").

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you and that organization.

If you do not agree to these Terms, you may not access or use our Services.

Definitions

• "Axis Platform" means our technology lifecycle management and operations automation platform.
• "Content" means any text, images, data, information, or other materials submitted, posted, or displayed through the Services.
• "User" means any individual or entity that accesses or uses the Services.
• "Account" means a registered account on our platform.

Our Services

Sense Solutions provides technology lifecycle management, hardware distribution, and operations automation services through the Axis Platform. Our services may include:

• Hardware procurement and distribution
• Asset lifecycle management
• IT operations automation
• Buyback and trade-in programs
• Fulfillment and logistics services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

User Accounts

To access certain features of our Services, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

Orders & Payments

When placing orders through our platform:

• All prices are subject to change without notice
• We reserve the right to refuse or cancel any order for any reason
• Payment terms are as specified at the time of order
• You are responsible for any applicable taxes
• Orders may be subject to credit approval

• Infringing on the rights of others

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENSE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Sense Solutions and our officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any Content you submit

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Services will immediately cease
• You must stop using and accessing the Services
• Provisions that by their nature should survive termination will survive

Dispute Resolution

Informal Resolution: Before initiating any formal dispute resolution, you agree to first contact us at legal@sensesolutions.ai to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration: If we cannot resolve a dispute informally, you and Sense Solutions agree to resolve any disputes through binding arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

• Arbitration will be administered by JAMS under its Streamlined Arbitration Rules
• Arbitration will take place in Morris County, New Jersey, or another mutually agreed location
• The arbitrator's decision will be final and binding
• Judgment on the award may be entered in any court of competent jurisdiction

Class Action Waiver: YOU AND SENSE SOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions: This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, including the Federal Trade Commission, your state's attorney general, or consumer protection agencies.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@sensesolutions.ai within 30 days of first accepting these Terms. If you opt out, you and Sense Solutions may litigate disputes in court.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

For disputes not subject to arbitration or where arbitration is opted out, any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Morris County, New Jersey.

Force Majeure

Sense Solutions shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather events
• Pandemics, epidemics, or public health emergencies
• War, terrorism, civil unrest, or government actions
• Cyber attacks, internet outages, or third-party service failures
• Supply chain disruptions or labor disputes
• Power outages or telecommunications failures
• Any other events beyond our reasonable control

If a force majeure event continues for more than 90 days, either party may terminate the affected Services without liability.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of the Services after any changes constitutes acceptance of the new Terms.
