End-User License Agreement

Acceptance and Effective Date

This End-User License Agreement ("EULA") is a legal agreement between Sense Solutions Corp. ("Sense Solutions," "we," "us," or "our") and the individual or organization that accesses or uses the Software ("you" or "Customer").

This EULA is effective as of May 1, 2026. By accessing, installing, connecting to, or using the Software, you agree to this EULA. If you use the Software on behalf of an organization, you represent that you are authorized to bind that organization.

If you do not agree to this EULA, do not access or use the Software. This EULA supplements our Terms & Conditions, Privacy Policy, and Acceptable Use Policy. If a signed order form, master services agreement, data processing agreement, or other written agreement with Sense Solutions expressly conflicts with this EULA, that written agreement controls for the conflicting term.

Definitions

• "Software" means the Axis Platform, Sense Solutions web applications, APIs, connectors, integrations, software components, documentation, updates, and related technology made available by Sense Solutions.
• "Authorized User" means an individual permitted by Customer to access the Software under Customer's account or subscription.
• "Customer Data" means data, content, files, records, instructions, or other information submitted to the Software by or on behalf of Customer.
• "Order Terms" means the applicable order form, statement of work, subscription plan, invoice, purchase order, or other written commercial terms accepted by Sense Solutions.

License Grant

Subject to this EULA and the applicable Order Terms, Sense Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the applicable subscription or service term solely for your internal business operations.

You may allow Authorized Users to use the Software for your internal business purposes. You are responsible for Authorized Users' compliance with this EULA and for all activity under your accounts, credentials, and integrations.

Any rights not expressly granted in this EULA are reserved by Sense Solutions and its licensors.

Authorized Users and Accounts

You agree to:

• Provide accurate account, billing, and operational information
• Keep credentials, API keys, tokens, and authentication factors confidential
• Promptly disable access for users who no longer need access
• Notify us promptly of suspected unauthorized access or credential compromise
• Use commercially reasonable security controls for systems connected to the Software

We may require identity verification, multi-factor authentication, domain validation, or other reasonable security steps before enabling or continuing access to the Software.

License Restrictions

You may not, and may not permit others to:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to discover source code
• Rent, lease, sell, sublicense, resell, distribute, or provide the Software as a service bureau
• Remove or alter proprietary notices, labels, or marks
• Bypass usage limits, access controls, authentication, or security measures
• Interfere with, disrupt, or degrade the Software or related systems
• Use the Software to transmit malware, unlawful content, or infringing material
• Use the Software to build a competing product or benchmark it for public competitive analysis without written permission
• Use Software output, documentation, or proprietary data to train artificial intelligence models without written permission
• Access the Software in violation of our Acceptable Use Policy or applicable law

Customer Data

As between you and Sense Solutions, you retain ownership of Customer Data. You grant Sense Solutions and its service providers a non-exclusive right to host, process, transmit, display, and use Customer Data as necessary to provide, secure, support, improve, and operate the Software and related services.

You are responsible for the accuracy, quality, legality, and authorized collection of Customer Data. You represent that you have all rights and permissions needed to submit Customer Data to the Software and to authorize our processing of that data.

Our handling of personal information is described in our Privacy Policy. Requests to access, correct, delete, or export personal information can be submitted through our Data Subject Access Request process.

Third-Party Services

The Software may connect with third-party platforms, marketplaces, carriers, payment providers, identity providers, accounting systems, distributors, or other services that you authorize. Third-party services are governed by their own agreements, policies, and availability commitments.

You are responsible for maintaining the accounts, permissions, credentials, and legal authority needed to connect third-party services. Sense Solutions is not responsible for third-party service changes, outages, data, fees, or actions outside our control.

Updates and Availability

Sense Solutions may update, enhance, modify, suspend, or discontinue features of the Software from time to time. Updates may be required for security, compliance, reliability, compatibility, or product improvement.

We use commercially reasonable efforts to operate the Software reliably, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. Planned maintenance, emergency maintenance, internet failures, third-party outages, and events beyond our control may affect availability.

Fees and Order Terms

Fees, taxes, payment terms, renewal terms, cancellation rights, and usage limits are governed by the applicable Order Terms. This EULA does not change any signed commercial agreement, accepted quote, purchase order accepted by Sense Solutions, invoice, or subscription plan.

If your access depends on a customer, partner, employer, reseller, managed service provider, or other sponsoring organization, your access may end when that organization ends, suspends, or changes its relationship with Sense Solutions.

Confidentiality

Non-public product information, pricing, security details, credentials, technical documentation, business processes, and other information disclosed by Sense Solutions that should reasonably be understood as confidential must be protected from unauthorized use or disclosure.

You may use Sense Solutions confidential information only to use the Software as permitted by this EULA and the applicable Order Terms. These obligations do not apply to information that becomes public through no fault of yours or that you independently develop without using Sense Solutions confidential information.

Ownership and Feedback

Sense Solutions and its licensors own all rights, title, and interest in and to the Software, including all intellectual property rights, technology, workflows, interfaces, documentation, templates, analytics, improvements, and derivative works.

If you provide suggestions, ideas, enhancement requests, or feedback, you grant Sense Solutions a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

Compliance and Export Controls

You must use the Software only in compliance with all applicable laws and regulations, including laws governing privacy, data protection, cybersecurity, telecommunications, procurement, anti-corruption, sanctions, and export controls.

You may not access or use the Software if you are located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or if you are listed on a restricted-party list maintained by the United States or other applicable government authority.

If you use the Software for or on behalf of a U.S. government entity, the Software is provided as "commercial computer software" and "commercial computer software documentation" under applicable federal acquisition regulations.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Sense Solutions disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and availability. We do not warrant that the Software will meet your requirements or that defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENSE SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

Except for amounts that cannot be limited under applicable law, Sense Solutions' total liability for claims arising out of or relating to this EULA or the Software will not exceed the amounts paid to Sense Solutions for the Software giving rise to the claim during the twelve (12) months before the event giving rise to liability.

Indemnification

You agree to defend, indemnify, and hold harmless Sense Solutions and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

• Your use of the Software in violation of this EULA or applicable law
• Customer Data or instructions submitted by you or your Authorized Users
• Your third-party service connections, credentials, or permissions
• Your violation of another party's rights
• Your negligence, willful misconduct, or fraud

Suspension and Termination

This EULA remains in effect while you access or use the Software. We may suspend or terminate access if you violate this EULA, fail to pay amounts due, create security or legal risk, misuse the Software, or if continued access would violate applicable law or a third-party requirement.

Upon termination, your license ends immediately and you must stop using the Software. Sections concerning restrictions, Customer Data rights, confidentiality, ownership, warranties, limitation of liability, indemnification, governing law, and any provisions that by their nature should survive will survive termination.

Governing Law and Disputes

This EULA is governed by the laws of the State of New Jersey, without regard to conflict of law principles.

Disputes arising from this EULA or the Software are subject to the dispute resolution, arbitration, class action waiver, opt-out, and venue provisions in our Terms & Conditions, unless a written agreement signed by Sense Solutions expressly provides otherwise.

Changes to This EULA

We may update this EULA from time to time. When we make material changes, we will post the updated EULA and revise the "Last updated" date. Continued use of the Software after the updated EULA becomes effective constitutes acceptance of the updated EULA.
